1. Acceptance of Terms

By accessing or using any product or service provided by FixZone Inc. (“we,” “us,” or “our”), including the FixZone home services marketplace and the AVTRIZ AI-powered business operations platform, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our services.

2. Description of Services

FixZone Marketplace

FixZone is a trust-first home services marketplace that connects clients with verified service providers. The platform includes provider discovery, booking, escrow-protected payments, real-time messaging, reviews, and AI-powered matching. FixZone operates as a marketplace facilitator and is not a party to the service agreements between clients and providers.

AVTRIZ SaaS Platform

AVTRIZ is an AI-powered business operations platform that provides up to 19 specialized AI agents for sales, marketing, finance, operations, and more. AVTRIZ is available as a subscription service with multiple tiers and optional add-on agents.

3. Account Registration and Responsibilities

To use our services, you must create an account and provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring that the information in your profile is accurate and up to date
• Complying with all applicable laws and regulations in connection with your use of our services

For FixZone service providers: you represent and warrant that you hold all licenses, certifications, and insurance required by applicable law to perform the services you offer.

4. Payment Terms

AVTRIZ Subscriptions

AVTRIZ is offered on a subscription basis with monthly or annual billing. Subscription fees are billed in advance and are non-refundable except as required by law. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. Add-on agents are billed at $7 per month each and can be added or removed at any time.

FixZone Escrow Payments

Payments for services booked through FixZone are held in escrow for a 24-hour period after service completion. During this period, clients may raise disputes. After the hold period, funds are released to the service provider, less the applicable platform commission. All prices shown to clients include all fees.

Platform Commission

FixZone charges a platform commission on transactions completed through the marketplace. The current commission rate and structure are disclosed to providers during onboarding and may be updated from time to time with reasonable notice.

5. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose or in violation of any applicable laws
• Attempt to circumvent the platform’s payment system, including exchanging contact information to arrange off-platform transactions
• Submit false, misleading, or fraudulent information, including fabricated reviews or credentials
• Interfere with or disrupt the operation of our services or servers
• Reverse engineer, decompile, or attempt to extract source code from our software
• Use automated systems (bots, scrapers) to access or collect data from our services without permission
• Harass, threaten, or harm other users of our services
• Use AVTRIZ AI outputs to generate content that is illegal, harmful, or deceptive

6. Intellectual Property

All content, features, and functionality of our services — including but not limited to text, graphics, logos, software, AI models, algorithms, and user interfaces — are owned by FixZone Inc. or its licensors and are protected by intellectual property laws.

You retain ownership of content you submit to our platform (such as reviews, messages, and business data). By submitting content, you grant FixZone Inc. a non-exclusive, worldwide, royalty-free license to use, display, and process that content as necessary to provide and improve our services.

7. AI Services Disclaimer

AVTRIZ AI agents provide recommendations, analysis, and generated content based on the data and instructions provided. AI outputs are intended as decision-support tools and should not be treated as professional, legal, financial, or medical advice. You are solely responsible for decisions made based on AI outputs. FixZone Inc. does not guarantee the accuracy, completeness, or reliability of any AI-generated content.

8. Limitation of Liability

To the maximum extent permitted by law, FixZone Inc. and its officers, directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages arising from your use of our services
• The quality, safety, or legality of services provided by third-party providers through the FixZone marketplace
• Losses resulting from unauthorized access to your account
• Any actions taken based on AI-generated recommendations or content

Our total liability for any claims arising from or related to these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless FixZone Inc. and its affiliates from any claims, liabilities, damages, losses, and expenses arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.

10. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use our services ceases immediately. Provisions that by their nature should survive termination — including intellectual property, limitation of liability, and indemnification — shall survive.

11. Dispute Resolution

Any disputes arising from or relating to these Terms or our services shall first be resolved through good-faith negotiation between the parties. If a dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

Class action lawsuits, class-wide arbitrations, private attorney general actions, and any proceeding where someone acts in a representative capacity are not permitted. Each party may only bring claims in their individual capacity.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any legal proceedings shall be conducted in the state or federal courts located in New York County, New York.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and, where appropriate, by email. Your continued use of our services after such changes constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
